Lead Chiefs Terms and Conditions

1. Definitions

• Company: Referred to as either “the Company”, “We”, “Us” or “Our” in this agreement, refers to Lead Chiefs Ltd, Vault 14, Level 2, Valletta Waterfront, Floriana, Malta.
• Affiliate: An individual or entity that promotes Lead Chiefs’ services in exchange for commissions.
• Sub-Affiliate: An individual or entity recruited by an Affiliate to promote Lead Chiefs’ services, operating under the Affiliate’s supervision.
• Advertiser: A third-party company that partners with Lead Chiefs to promote its products or services through the Affiliate Program.
• Commission: The financial compensation earned by an Affiliate for valid transactions generated through their promotional activities.
• Program: The Lead Chiefs Affiliate Program.

2. Enrollment and Acceptance

2.1. Application Process: Prospective Affiliates must complete and submit the Program application form available via https://leadchiefs.com.

2.2. Acceptance Criteria: Lead Chiefs reserves the right to accept or reject any application at its discretion. Factors influencing acceptance may include, but are not limited to, the applicant’s website content, promotional methods, and compliance with applicable laws and regulations.

3. Affiliate Obligations

3.1. Compliance: Affiliates must adhere to all applicable laws, regulations, and guidelines, including but not limited to advertising standards, anti-spam laws, and data protection regulations.

3.2. Marketing Practices: Affiliates are prohibited from:

• Using misleading or deceptive advertising practices.
• Engaging in unsolicited mass email campaigns (spam).
• Promoting content that is defamatory, obscene, discriminatory, or otherwise inappropriate.
• I will only target my domain and marketing at users in the permitted territory / states that are communicated to me in writing from time to time.
• I will not incentivize players to sign up to operators via the links I am provided.

3.2.1 I agree to the full operator terms and conditions of all operators:

• I understand that each operator that owns the links provided to me will also have specific terms and conditions attached to the use of those links and I hereby agree to read and comply with each of those terms.
• I understand and agree that if I breach any of these terms, including the full operator terms and conditions mentioned above, I may be required to immediately remove the links from my sources and this agreement may be immediately terminated.

3.3. Sub-Affiliates: Affiliates may recruit Sub-Affiliates under the following conditions:

• Affiliates are responsible for ensuring that Sub-Affiliates comply with these Terms and Conditions.
• Lead Chiefs reserves the right to approve or reject any Sub-Affiliate.
• Affiliates must maintain accurate records of their Sub-Affiliates and provide such information to Lead Chiefs upon request.

4. Commissions and Payments

4.1. Commission Structure: Commissions are earned based on valid transactions generated through the Affiliate’s and their Sub-Affiliates’ promotional activities. The specific commission rates and structures are detailed in the Affiliate’s account dashboard and may vary depending on the Advertiser and each promotional campaign.

4.2. Payment Terms: Payments are made monthly, provided the Affiliate’s account balance meets the minimum threshold of €500. Balances below this amount will roll over to the next payment cycle.

4.2.1 I will only be paid the commission for valid real money players that register and meet the operator requirements:

I hereby agree that I will be paid commission at the rate(s) agreed in writing for players that click through the link, register and meet the operator requirements (which may include KYC-process such as; account validation, identification, deposit, wagering and other operator defined requirements).

I agree that I will be paid any commission due to me in accordance of the Lead Chiefs payment structure provided that:

• The operator may withhold or claim back commissions for violations of their terms, fraud or other types of misuse by you or the players introduced by you;
• I have met the minimum commission threshold and;
• In the event that I am overpaid commission due to calculation errors or otherwise, such errors will be corrected.

I acknowledge and agree that if I am overpaid commission due to (i) or (iii) above or for any other reason, I will repay the amount promptly upon request or the amount overpaid may be deducted or setoff from any future commission due to me.

4.3. Payment Methods: Lead Chiefs offers various payment methods, including bank transfers and electronic payment systems. Affiliates are responsible for ensuring their payment information is accurate and up-to-date. For affiliates wishing to be paid in cryptocurrencies, they carry a 5% transaction fee (not our fee).

4.4. Taxation: Affiliates are responsible for any taxes associated with their commission earnings. Lead Chiefs may withhold taxes as required by applicable laws.

5. Intellectual Property

5.1. License: Lead Chiefs grants Affiliates a non-exclusive, revocable license to use its trademarks, logos, and marketing materials solely for the purpose of promoting the Program in accordance with these Terms and Conditions.

5.2. Restrictions: Affiliates shall not modify Lead Chiefs’ intellectual property in any way without prior written consent. Unauthorized use of any intellectual property is strictly prohibited.

5.3. Operator intellectual property rights:

• I agree that I am being granted a limited license to use the links and related operator intellectual property strictly for the purpose set out in this agreement and in accordance with its terms. I understand that when this agreement terminates, this license will immediately cease and I must cease any use of the links and related operator intellectual property.
• I agree that I will not alter or edit any operator materials I am provided with in connection with this agreement.
• I agree that nothing on my domain or in any other marketing materials I create will infringe any third party intellectual property rights.

6. Confidentiality

6.1. Definition: Confidential Information includes any business, technical, or financial information disclosed by Lead Chiefs to the Affiliate that is not publicly available.

6.2. Obligations: Affiliates agree to:

• Maintain the confidentiality of such information.
• Not disclose it to any third party without Lead Chiefs’ prior written consent.
• Use it solely for the purposes of fulfilling their obligations under the Program.

7. Term and Termination

7.1. Term: This Agreement commences upon acceptance into the Program and continues until terminated by either party.

7.2. Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, the Affiliate must cease all promotional activities related to Lead Chiefs and remove any associated materials from their sources and platforms.

8. Limitation of Liability

Lead Chiefs shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the Program. The total liability of Lead Chiefs, whether in contract, tort, or otherwise, shall not exceed the total commissions paid to the Affiliate in the preceding month.

9. Indemnification

Affiliates agree to indemnify and hold harmless Lead Chiefs, its affiliates, and their respective directors, officers, employees, and agents from any claims, damages, liabilities, or expenses arising out of:

• The Affiliate’s breach of these Terms and Conditions.
• Any violation of applicable laws or regulations.
• The Affiliate’s negligence or willful misconduct.

10. Miscellaneous

10.1. I can sign on behalf: I hereby warrant that I have the requisite power and authority to execute, deliver and perform my obligations under this agreement.

10.2. If requested I will provide identification information: I acknowledge and agree that I may be requested to verify my identity in order to work with you and/or receive commission from you. If so requested, I agree to promptly provide reasonable verification information which may include:

• For individuals: passport, national identity card, driving license, proof of address (utility bill, bank statement); and
• For corporates: certificate of incorporation, memorandum and articles of association, register of directors, register of shareholders, details of ultimate beneficial owner.

10.3. Modification: Lead Chiefs reserves the right to modify these Terms and Conditions at any time. The continued participation in the Program constitutes acceptance of the revised terms.

10.4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict of law principles.
